A revenue threshold, and the group structure question inside it
A revenue threshold caps a grant at a stated annual figure. The number sits in the licensee's accounts rather than in any invoice, and the licence rarely says across which entities it is counted. As of 2026-09-22.
| Question | What the phrase answers |
|---|---|
| The figure | Stated in the licence, in a named currency |
| Whose revenue | Often unqualified, which matters for a group |
| Measured over what period | Annual, though the year may be undefined |
| Effect of crossing it | Termination of granted licences, in some wordings |
Inclusion rule. Phrases that appear in more than one vendor's permissions documents and that change what a sentence means. A phrase used by a single vendor in a single clause is described on that vendor's own page instead. Order. Reading order: where you meet it, then what it settles, then what it does not.
1The most invisible condition in this subject
Nothing happens when a company crosses a revenue threshold. No invoice changes, no email arrives, and the software carries on working. The grant it was operating under has gone, and the only person positioned to notice is the licensee.
That makes it a calendar item rather than a reading. A studio relying on such a licence should be checking the figure at the same time it does anything else annual, which is a policy question rather than a legal one.
2Whose revenue, and over what
A single company is easy. A group with a parent, a holding entity and two trading subsidiaries is not, and a licence that says annual revenue without qualification has left that structure to the reader.
Ambiguity here is not a reason to assume the favourable reading. It is a reason to record which entity is relying on the grant, because that choice is the one a later question will turn on.
3Terminate is a stronger word than upgrade
Where the wording says the granted licences terminate, nothing about a larger plan is promised. An enterprise arrangement has to be requested, and a request is not a purchase with a price attached.
Outputs already generated are a separate matter. Losing the basis to produce more does not unmake what exists, and separating the two keeps the conversation with counsel short.

5Where the sourced wording is
A word page, not an entry in the register: nothing above is attributed to any vendor and nothing above is legal advice. The quoted clauses are on commercial use, the column this phrase turns up in is commercial use from, and the reading rules are on the reading page. Next words: Territory, Carve-out, Assignment.
